The commercial website www.mylaces.com (hereinafter referred to as the « Website ») is an e-commerce Website accessible via the Internet and available to any user of this network (hereinafter referred to as « Internet user »). The content of this website is published by FOOLS (hereinafter referred to as « FOOLS »), a Limited Company with capital of 10.000 euros, located at 1322 Route des Goulards - 33220 SAINT-AVIT-SAINT-NAZAIRE - FRANCE and registered in the Trade and Companies Register for Libourne under SIREN number 534148887 and VAT number FR77534148887.

The Website enables FOOLS to sell accessories and textile products made for FOOLS or its business partners (hereinafter referred to as the « Products ») to consumers visiting its Website (hereinafter referred to as the « Consumers »). For the purposes hereof, it is agreed that the Consumer and FOOLS will be collectively called "the Parties" and individually termed "the Party".

It's stipulated herein that any purchase of Products made on the Website is reserved for non-trading natural persons, in their capacity as consumers aged over 18 who have full legal capacity.

The Website does not permit the purchase of products with a view to their resale. In this regard, the attention of Customer is drawn particularly to the fact that the order can not exceed thirty (30) items per order and should not be present anomalies. Any purchase of Product given for sale on the Website implies the Customer's unreserved acceptance of these Terms and Conditions of Sale.

FOOLS SARL reserves the right to modify these Terms and Conditions of Sale at any time by publishing a new version on the Website. The Terms and Conditions of Sale applicable are those which are in effect on the Website at the date of placing an order.

 
 

Article 1. Object

These Terms and Conditions of Sale govern the rights and obligations of the "Parties" as part of the online sale of Products offered by Mylaces.com. These Terms and Conditions of Sale form a contract with the invoice and the order form given to the Customer, and apply to the exclusion of any other document.

In case of conflict or inconsistency between the terms of these three documents, each document shall prevail over the others in the following order:

-the invoice
-the order form
-these Terms and Conditions of Sale

 
 

Article 2. Products - Prices

2.1.Articles

The articles offered for sale are those listed on the Website on the day of the Customer’s visit to the Website. To this end, the Customer is informed about the availability of the articles they wish to select at the time of placing the orders. . In case of any question regarding Article unavailability, Customer may contact the Customer Services in the "Contact" section or click on the availability alerte on the product sheet

The photographs illustrating the articles are their most accurate reproductions but have no contractual value. The Consumer is invited to consult the technical description of each Product to discover its essential characteristics.

2.2. Prices

Prices are given in euros, and include all taxes. Packaging and delivery fees are not included. The value added tax is the tax applicable on French Metropolitan territory on the day of the order. Prices quoted are those given on the Website at the time of ordering. The Consumer is notified of the packaging and delivery fees added to the order form before confirming it.

 
 

Article 3: Orders

3.1. Order submission

All new Customer must complete the required fields in order to create a profile, which will be accessible in the "My Account" section. Customer must accurately complete the form provided, including all the information enabling their identification. In particular, they must supply a valid email address and a password of their choice (these must remain personal and confidential), which will subsequently serve to identify Customer on the Website. Customer who have already created a Customer Account must log in after clicking on "Order now" by entering the email address and password.

The Customer agrees that entering these two pieces of identification constitutes valid proof of their identity.

The entry of personal details marked with an asterisk, which are collected when online purchases are made, is mandatory, as this data is necessary for order processing and delivery, as well as for invoice preparation. This data is strictly confidential and will be processed in accordance with the FOOLS privacy policy, which may be consulted on the Website.

Customer wishing to place an order can simply select the Products of their choice by clicking on "Add to my basket".

At any time the Customer may:

- check the number of Products in their basket and obtain detailed information about any one of them by clicking on "My basket",
- continue adding Products by clicking on "Continue shopping",
- complete their order by clicking on "Order now".

3.2. Order validation

After reading through the form summarizing their order, the Customer must click on "OK" to confirm the order and proceed to payment.

The act of validating the summary order form constitutes the Customer's agreement. This agreement is equivalent to a handwritten signature and is official proof of the contract established between the Parties, of the total value of the order and of the payability of the amounts due within the scope of said order.

FOOLS SARL reserves the right not to validate an order in the event that:

- The restrictions indicated in the preamble hereof are breached (prohibition of purchases for resale, purchase ceiling of a maximum of thirty (30) items per order and/or orders considered abnormal),
- Fraudulent or abnormal claims in accordance with article 5 below,
- Abnormal or fraudulent exchanges and returns in accordance with article 8 below,
- Existing disputes with the Customer,
- Non-payment (full or partial) by the Customer for a previous order,
- A bank’s refusal to authorize a credit card payment.

The price payable by the Customer is the amount stated on the summary order form, which the Customer must read through before validating the order.

The Customer must pay for their order by credit card (Visa, Eurocard/Mastercard or American Express) in accordance with the provisions of this article.

To pay for their order by credit card, the Customer must provide their credit card number and, depending on the type of card used, the expiry date, as well as the security code (the 3-digit number printed on the back of the credit card).

The card is debited the moment the order is validated on the Website, unless the server is unavailable.

The Customer is informed that in order to pay by credit card, they will be automatically transferred to the Credit du Nord secure payment system.

The Credit du Nord server uses S.S.L 3.0 (Secure Socket Layer) secure encryption to protect all data relating to methods of payment. Credit du Nord monitors its platform and all transactions submitted 24/7.

The Customer’s bank details are never processed by the FOOLS SARL IT system.

However, in the event of fraudulent use of a credit card, the Customer is invited, as soon as they discover such use and after contacting their bank to stop the payment, to contact the e-store Customer Service Department for details of the procedure to follow:

3.3. Order confirmation

Following payment, FOOLS SARL sends the Customer a summary of the order to the email address stated by the Customer, either immediately or, at the very latest, prior to delivery.

The order form is kept in FOOLS SARL' files, which are stored on reliable and durable media. The Customer agrees that the order form is considered to be proof of the contractual relationship between the Parties.

The Customer may print the summary order form sent with the order confirmation. A summary of the order shall also be accessible in "My Account".

 
 

Article 4: Delivery

FOOLS SARL will do its best to deliver the order within an average of two (2) to five (5) working days and undertakes to deliver within a maximum of twelve (12) working days as of the day following receipt of payment for the order. Please note that any orders placed on the Website on Friday afternoons after 1 pm, or on Saturdays and Sundays, will be processed on the next Monday. Any orders made via the Website on a holiday will be processed on the next working day.

The Product ordered by the Customer must be delivered, with the delivery slip, to the address stated by the Customer. Customer may have the Product delivered to an address of his choice.

Delivery will be impossible in the case of force majeure, as defined in article 10.1 below.

 
 

Article 5: Order receipt

On receiving the order, the Customer should check the compliance of the Products received in fulfilment of the order. Any anomalies concerning the delivery (for example: missing or damaged Products, Products not compliant with the order or damaged parcel) must be notified to the FOOLS SARL Customer Service Department within fifteen (15) days following receipt, by one of the following means:

Any claim made more than fifteen (15) days following receipt of the Products, without legitimate reason, will be inadmissible.
In the event of abnormal or fraudulent claims, FOOLS SARL may refuse to process any further orders.
The Customer may choose either an exchange or a refund of the value of the order (to be specified by the Customer from the outset), within thirty (30) days at most of notifying the anomaly to the FOOLS SARL Customer Service Department.
FOOLS SARL reserves the right to ask the Customer to return noncompliant or damaged Products.

 
 

Article 6: Right of cancellation

The Customer has seven (7) working days as of the date of receipt to return the Products they ordered, at their own expense. Returned Products must be unworn and unwashed. Products must be returned in their original condition and packaging, together with the invoice and delivery slip, to the following address:

The Customer can choose between a refund and a credit note by ticking the appropriate box on the delivery slip. If no box is ticked, FOOLS SARL will issue a credit note for the relevant amount.

If the aforementioned conditions are fulfilled, FOOLS will refund the total order amount (including delivery charges) either to the credit card used for the purchase or by credit note within thirty (30) days following receipt of the Products by FOOLS. This refund excludes the cost of returning the Products, which must be covered by the Customer.

 
 

Article 7: Liability and Guarantees

All Products are covered by the legal guarantee of compliance provided for in Articles L. 211-4 and following of the Consumer Code, and by the guarantee against hidden defects provided for in Articles 1641 and following of the Civil Code, providing that they have been used as intended and cleaned in the manner recommended.

Article L211-4 of the Consumer Code

The seller must deliver goods in accordance with the contract and is responsible for any non-compliances identified at the time of delivery. The seller is also responsible for non-compliances resulting from inadequate packaging or from incorrect instructions for assembly or installation when they are responsible for performing the latter or for having it performed on their behalf.

Article L211-5 of the Consumer Code

To comply with the contract, the goods must:

1º Be suitable for the use usually intended for such a product and, if relevant:

- match the description provided by the seller and possess the qualities presented by the seller to the buyer in the form of a sample or a model;

- present the qualities that a buyer could legitimately expect, given the public statements made by the seller, the manufacturer or its representative, particularly in advertising material or on labelling;

2º Or possess the features defined by the parties by mutual agreement, or be suitable for any specific use required by the user as specified to the seller and to which the seller has agreed.

Article L211-12 of the Consumer Code

Any legal action relating to a lack of compliance is governed by a term of prescription of two years as of the date of delivery of the goods.

Article 1641 of the Civil Code

The seller must also guarantee the buyer against hidden defects in the product sold that make it unsuitable for its intended use, or which diminish such use to the extent that buyer wouldn't have buy it, or would have paid less for it, if he had been aware of.

Article 1648 paragraph 1 of the Civil Code

Any action resulting from latent defects must be instituted by the buyer within two years of discovery of the defect.

FOOLS shall in no way be held liable for any inconvenience or damages arising from use of the Internet, such as interruptions of service or the presence of computer viruses.

 
 

Article 8: Credit notes and refunds

The Customer may contact the e-store Customer Service Department for details of the relevant procedure to follow:

In the event of improper or fraudulent exchanges or returns, FOOLS may refuse to process any further orders.

8.1. Terms and conditions of return

Without prejudice to the provisions relating to the legal guarantee and the right of cancellation, the Customer has a period of thirty (30) days to return, at their expense, any Products ordered that they are not satisfied with. This period starts from the date of receipt of the Products.

Returned Products must be unworn and unwashed. Products must be returned in their original condition and packaging, together with the invoice and delivery slip, to the following address:

The Customer should keep proof of the product having been returned. This means returning the order by recorded delivery, or by any other means that establishes the certain date of return.

Any Products returned in anything other than their original condition and packaging, including cases where they are incomplete, damaged, worn or soiled by the Customer, will be rejected.

8.2. Credit notes and refunds via the website

If the aforementioned conditions are fulfilled, FOOLS will refund the Customer the value of the returned products or send them a credit note valid for 1 year, within a maximum of thirty (30) days following receipt of the products by FOOLS.

If an order is placed using a voucher, the value of the voucher will be deducted from the amount refunded in proportion to the number of products ordered.

 
 

Article 9: Confidentiality

In order to make purchases on the website, Customer must create an account and specify an email address and password, which they will be asked for every time they wish to access their account. Any personal information about a Customer is protected by a password to ensure that that Customer, and that Customer alone, has access to it. FOOLS recommends that Customer does not disclose this information to any other person.

Customer must also remember to log out from their account and close the browser window at the end of the session, especially if he is using a computer shared with other individuals for Internet access. Customer will unable other users to accessing his personal information.

Customer must keep the confidentiality of his password. Customer will also bear the consequences of actions made by third parties who have gained knowledge of his password.

 
 

Article 10: Miscellaneous provisions

10.1 Force majeure

FOOLS SARL cannot be held liable for the delayed fulfilment or for the full or partial non-fulfilment of the obligations tied to these Terms and Conditions of Sale, if the delay is caused by an event constituting force majeure, namely unforeseeable and unavoidable circumstances beyond the control of the Parties, including disruptions or full or partial strikes, notably on the part of postal services, transport services and/or communication providers, or in the event of floods or fire. FOOLS will notify the Customer of any event constituting a case of force majeure, within five (5) working days of its occurrence at the very latest.

FOOLS will do its best to inform the Customer about order processing as soon as possible in the event of force majeure.

In the event that the case of force majeure exceeds (one) 1 month, the Parties will be released from their respective obligations. If necessary, FOOLS SARL will refund the Customer as soon as possible for any orders paid for but not delivered.

10.2. Partial invalidity

If any paragraph or provision of these Terms and Conditions of Sale is declared invalid or unenforceable, the remaining clauses of these Terms and Conditions of Sale shall continue to have full force and effect, unless the invalidated provision is so fundamental that its withdrawal or cancellation prevents the performance of these Terms and Conditions of Sale in their entirety.

10.3. Tolerance

In the eventuality that FOOLS SARL waives the requirement to perform any of the clauses of these Terms and Conditions of Sale, or refrains from exercising any right conferred to it by these Terms and Conditions of Sale, this shall in no circumstances be regarded as a permanent waiver of rights, nor prevent it from enforcing their future execution, regardless of the waiver period.

10.4. Storage and archiving of transactions

Invoices are archived on reliable, durable media so as to keep a faithful and durable copy.
